NewOrigin Gold Receives Final Order for Arrangement with Harfang Exploration
The Ontario Superior Court of Justice has approved a proposed business combination between NewOrigin Gold Corp. and Harfang Exploration Inc. Harfang will acquire all outstanding common shares of NewOrigin through an arrangement agreement. This agreement was approved by NewOrigin's shareholders in a recent meeting. Post-arrangement, former NewOrigin shareholders will own about 20% of Harfang's common shares. The deal, expected to close in the first half of November, is subject to certain conditions including regulatory approvals. Following completion, NewOrigin shares will be delisted from the TSX Venture Exchange, and the company will cease to be a reporting issuer.
